General Terms of Service (GTS)

Preamble

These General Terms of Service (hereinafter "GTS") aim to define the rights and obligations of the company publishing the site guichet-societes.com and its professional clients in the context of providing legal and administrative information services.

QODERZ LTD is a company incorporated under English law, registered with Companies House in the United Kingdom and having its registered office at 7 Bell Yard, London, WC2A 2JR, United Kingdom, duly authorized to offer its services in French territory. Any use of the site implies unreserved acceptance of these GTS.

Definitions

  • Client: any legal or natural person acting in the course of their professional activity.
  • Internet user: any person accessing the site guichet-societes.com without subscribing to the services.
  • Service Provider: QODERZ LTD, publisher and operator of the site guichet-societes.com.
  • Site: platform accessible at guichet-societes.com.
  • Services: all services offered via the site, described in article 3.
  • Site content: all information, texts, databases, files, visuals and documents accessible via the site.
  • Documents: KBIS extracts, SIRENE notices, VAT numbers, financial statements, BODACC announcements, legal documents, trademarks and patents available for consultation or download.
  • Subscription: contractual formula allowing access to the site's services on a monthly basis, with or without usage limits depending on the offers proposed.
  • Pro Offer: paid monthly subscription formula allowing extended access to services.

Description of services

Guichet Sociétés offers online access services to:

  • Company files
  • SIRENE notices
  • VAT numbers
  • Financial statements
  • BODACC announcements
  • Legal documents
  • Information on trademarks and patents
  • KBIS extracts (limited to 15 per month for Pro subscriptions)

Services are exclusively reserved for searches concerning companies registered in France.

Two formulas are available:

  • Member Plan (free): access to company file, SIRENE notice and VAT number.
  • Pro Offer (69 €/month): full access to all services with a limit of 15 KBIS extracts/month. Other documents are available with unlimited access. A 2-day trial period is offered at the rate of 1.49 €.

Access to Pro Service

The use of the Pro Service is conditional on the creation of a customer account and effective subscription to a subscription.

To activate their account, the user must provide the following information from the subscription page:

  • A valid email address
  • The information, company name or SIREN/SIRET identifier
  • A password
  • Accept these General Terms of Service

Account validation is effective once payment for the trial period is confirmed. The client is responsible for the accuracy of the data provided and undertakes to update it in case of change. Inaccurate or outdated information may result in temporary or permanent suspension of access to services.

Each account entitles to a single trial period of two days, billed at 1.49 € excluding taxes. Unless expressly terminated before its end, the subscription is automatically renewed for periods of 30 days, at the monthly rate of 69 €.

Subscription payment is made only by credit card. A user can only activate one trial period, all multiple subscriptions being prohibited. Access to the site is open 24/7 except in cases of force majeure, technical failures, or maintenance operations. Guichet Sociétés implements all reasonable means to ensure the availability of the site and services, without obligation of result.

Terms of use

The client undertakes to:

  • Be a professional
  • Search only for data concerning French companies
  • Not alter or damage the data provided
  • Not divert the use of services for illegal purposes

Duration, withdrawal and termination

The 'Pro Offer' subscription is taken out for a monthly period, automatically renewable.

In accordance with Article L221-3 of the Consumer Code, professional clients do not benefit from the right of withdrawal.

Termination can occur at any time by the client from their personal space or from the site's homepage. It takes effect immediately. No refund will be made for a period already started.

Refund

As the services offered by guichet-societes.com are mostly accessible immediately after order validation (including access to documents or digital information tools), no refund will be granted once the service has started or been completed, except in case of proven malfunction attributable to the Service Provider.

In case of technical anomaly or error during the execution of a service, the Client can contact customer support at support@guichet-societes.com within 7 days following the order, to formulate a motivated complaint. Each request will be subject to an individualized analysis.

The Service Provider reserves the right to refuse a refund if the service was provided correctly, in accordance with the Client's order.

Responsibility

Guichet Sociétés makes every effort to guarantee a reliable, secure service that conforms to its contractual description. However, the obligation incumbent on the Service Provider is an obligation of means, not of result. It cannot be held responsible for the consequences of inadequate use, misuse or erroneous interpretation of documents provided via the platform.

The Client remains solely responsible for the choices they make, the use of accessible information and its relevance to their own needs. Access to services relies on IT infrastructures that may be subject to interruptions. No guarantee is provided as to the continuity of the service, its availability or the completeness of the data.

In case of force majeure or unforeseeable and irresistible external events (breakdown, attack, strike, outage, third-party failure, etc.), Guichet Sociétés is released from all liability for the period concerned.

Any fault of the Client (input errors, failure to update, disclosure of their credentials, automated or fraudulent use of the service) engages their exclusive liability. Guichet Sociétés reserves the right to suspend access in case of breach of contractual conditions.

The unavailability of the site, even prolonged, cannot alone justify a right to compensation or refund.

The liability of Guichet Sociétés is strictly limited to direct, proven damages attributable to a contractual fault on its part. Under no circumstances can it cover commercial damages, data loss, damage to reputation or loss of revenue. Any compensation due by the Service Provider, for all causes combined, may not exceed the amount of the last monthly subscription paid by the Client.

Intellectual property

The site guichet-societes.com and all its contents are protected by intellectual property provisions, including the French Intellectual Property Code and applicable British legislation. These contents include, without limitation:

  • Texts, articles, databases, studies and analyses,
  • Interfaces, graphics, graphic charters, illustrations, icons, logos, trademarks and images,
  • The domain name, the general structure of the site, its tree structure and its ergonomics,
  • Source codes, scripts, algorithms and software developed for the operation of the platform.

These elements are the exclusive property of Guichet Sociétés or its contractual partners and cannot be used without prior written authorization.

Any unauthorized reproduction, representation, distribution, extraction, exploitation or commercial use, by any means whatsoever, is strictly prohibited and constitutes an act of counterfeiting punishable by civil and criminal sanctions.

The Client undertakes not to infringe, directly or indirectly, the intellectual property rights of the Service Provider. In particular, they are prohibited from modifying, decompiling, disassembling or reproducing all or part of the site or its contents without express authorization.

The fact that Guichet Sociétés does not initiate immediate proceedings in case of counterfeiting cannot be interpreted as a waiver of its rights.

Prices and payment terms

The prices in effect are those displayed on the site guichet-societes.com at the time of subscription. They are expressed in euros, all taxes included (TTC), and apply only on the date of the order. Guichet Sociétés reserves the right to modify them at any time for any future subscription or renewal, subject to prior notification to the Clients concerned.

Two formulas are offered:

  • Member Plan: free, allowing access to company files, SIRENE notices and VAT numbers;
  • Pro Offer: billed at 69 € including tax per month, giving access to all site services, except KBIS extracts limited to 15 per month.

A single two-day trial period is available to all new Clients, for a payment of €1.49 including tax. Without termination before its expiry, the Pro subscription is automatically renewed for successive monthly periods.

Guichet Sociétés reserves the right to grant, at its sole discretion, special pricing conditions to certain clients (for example, discounts or special offers). These adjustments do not affect the general GTS applicable to all users.

Corresponding invoices are automatically generated and accessible in the customer area. The Client expressly accepts that these documents be provided in dematerialized form.

Payments are due on the agreed date. No postponement is possible, even in case of dispute.

Personal data

In the context of its services, Guichet Sociétés collects and processes personal data relating to its professional users. The data controller is the company publishing the site, established in the United Kingdom. A Data Protection Officer (DPO) is mandated to ensure compliance with the GDPR, UK GDPR and legal obligations regarding confidentiality.

The data concerned may include: surname, first name, position, company name, company identifiers, professional email, telephone number, postal address, order and subscription histories. This information is processed on the basis of the contractual relationship linking Guichet Sociétés to its Clients, and is used exclusively to ensure the execution of services, manage user accounts, ensure legal security and comply with legal obligations.

Data is kept for as long as necessary for the execution of the contract, then archived for a period in accordance with legal limitation periods. It is hosted on secure servers and is only accessible to authorized personnel or subcontractors contractually bound to confidentiality.

The Client has the following rights: access, rectification, erasure, portability, objection, restriction and definition of post-mortem directives. Any request can be sent to the following address: support@guichet-societes.com.

Guichet Sociétés undertakes to respond to any request within a maximum period of 30 days. In case of doubt about data processing, the Client can contact the competent supervisory authority.

Some technical service providers of Guichet Sociétés may be located outside the European Union. In this case, transfers are governed by contractual clauses compliant with European standards. Finally, Guichet Sociétés may be required to respond to any request made by a public authority under the conditions provided by law.

In case of restructuring of the activity, merger, transfer or any other change of control, the data may be transmitted to the new entity to ensure the continuity of services, in compliance with the rights of the persons concerned.

Legal guarantees

In accordance with the provisions of the French Civil Code and, where applicable, applicable British legislation, the Client benefits from legal guarantees relating to the conformity of services and the absence of hidden defects.

Conformity guarantee

Guichet Sociétés undertakes to provide services that conform to the description made on its website and to the essential characteristics announced at the time of the order. This guarantee covers in particular:

  • The accessibility of documents included in the subscribed offer,
  • Compliance with the quantitative limits provided (for example, 15 KBIS extracts/month for the Pro Offer),
  • The consistency and reliability of data provided from official sources.

In case of manifest lack of conformity, the Client may require compliance at no cost, within a reasonable time and without major inconvenience. If this compliance is impossible or disproportionate, the Client may request a price reduction or termination of the contract.

Hidden defects guarantee

The Client may invoke the guarantee against hidden defects within a reasonable time following the discovery of the defect, in case of malfunction detected after the execution of the service, seriously affecting its use or utility.

The guarantee is excluded when the Client uses the services despite contrary recommendations, or in a manner not consistent with its professional purpose.

Exercise procedures

Any claim relating to guarantees must be notified in writing to the following address: support@guichet-societes.com, accompanied by any element justifying the alleged defect. The Service Provider will carry out an individualized analysis of the file and may request additional information. In case of acceptance of the claim, corrective measures (refund, modification of service, price reduction, etc.) will be implemented within a reasonable time.

Applicable law and competent jurisdiction

These GTS are governed by English law. In case of dispute relating to the interpretation or execution of these conditions, the parties undertake to seek an amicable solution as a priority.

In case of failure of this amicable attempt within 30 days, the dispute may be brought before the competent courts of England and Wales, subject to a contrary mandatory provision.

Any claim or request for information must be sent to support@guichet-societes.com. In case of dispute, the parties undertake to seek an amicable solution before any legal proceedings.
